Clear subscription and payment rules for Novéalla Executive Memberships.

This Billing, Cancellation & Refund Policy ("Billing Policy") explains how subscriptions, trials, recurring payments, renewals, plan changes, promotions, cancellations, refunds, taxes, failed payments, and related billing matters are handled for Novéalla Inc. ("Novéalla," "we," "us," or "our").
This Billing Policy forms part of our Terms of Service.
If transaction-specific terms displayed at checkout differ from a general provision of this Billing Policy, the transaction-specific disclosure will govern that transaction to the extent permitted by applicable law.
Nothing in this Billing Policy limits any cancellation, refund, disclosure, rescission, charge-reversal, or other statutory right that cannot lawfully be waived.
Novéalla offers subscription-based access to its AI Executive Company through one or more Executive Membership plans.
Different plans may provide different Business Workspace capacity, features, executive capabilities, project limits, processing priority, usage allowances, or other benefits.
The plan selected and confirmed during checkout determines the subscription purchased unless it is later changed through an authorized plan-change process.
The price applicable to a subscription will be displayed before the purchase is confirmed.
Novéalla will not intentionally advertise a subscription at a price that cannot actually be obtained because of undisclosed mandatory non-government charges.
Applicable taxes imposed by law may be added to the displayed subscription price where required.
The applicable transaction currency will be identified through the website, offer, pricing page, or checkout flow.
Canadian launch pricing is generally denominated in Canadian dollars unless another currency is expressly displayed.
Where a payment provider, card issuer, or financial institution performs currency conversion, that third party may apply its own exchange rate or conversion charges. Those charges are not imposed by Novéalla.
Applicable federal, provincial, territorial, harmonized, goods and services, sales, value-added, or similar taxes may be collected where required by law.
Taxes may vary depending on the purchaser's location, billing information, tax status, or applicable legal rules.
Any tax legally imposed on the purchaser may be shown separately during checkout, on an invoice, or on a receipt.
The recurring billing interval applicable to a subscription will be disclosed before purchase.
Where a plan is offered on a monthly basis, the customer is billed once for each monthly billing period unless the subscription is cancelled or otherwise terminated in accordance with this Policy.
If Novéalla later offers additional billing intervals, the interval selected during checkout will govern that subscription.
Unless expressly identified as non-renewing, paid Executive Memberships are recurring subscriptions.
Your subscription will automatically renew at the end of each applicable billing period until cancelled.
By purchasing an automatically renewing subscription, you authorize Novéalla and its payment processor to charge the payment method associated with your subscription for each renewal amount lawfully due until cancellation takes effect.
The renewal date is generally based on the date the paid subscription begins or another billing-cycle date communicated through checkout or the billing portal.
Billing-cycle dates may be adjusted in connection with plan changes, trials, payment-recovery procedures, prorations, or payment-provider processing where permitted and appropriately disclosed.
Novéalla may offer free trials for eligible subscriptions.
Where a trial is offered, the applicable trial duration and material conditions will be disclosed through the offer, signup flow, pricing page, or checkout process.
Novéalla's standard launch offer may include a seven-day free trial where that offer is displayed and available, but availability of a trial is not guaranteed for every plan, promotion, account, business, or future subscription.
Where a trial is associated with an automatically renewing paid subscription, the trial may convert to the disclosed paid membership when the trial ends unless it is cancelled before the applicable conversion or billing time.
Before enrollment, the applicable offer or checkout flow should identify material information such as the post-trial price, billing interval, and recurring nature of the subscription.
If a particular trial does not require a payment method or does not automatically convert to paid service, that trial will operate according to the terms displayed for that offer.
Novéalla may reasonably limit trial eligibility to prevent fraud, repeated trial use, duplicate accounts, promotion abuse, or other misuse.
Eligibility restrictions may apply by customer, founder, business, account, subscription, payment method, promotion, or other reasonable criteria, subject to applicable law.
Novéalla may offer promotional prices, founding-member offers, coupons, promotional codes, introductory discounts, credits, or other limited offers.
Promotional offers may have eligibility rules, redemption limits, expiration dates, usage limits, plan restrictions, or limited discount periods.
Those conditions will apply in addition to this Billing Policy.
Unless an offer expressly states otherwise, a temporary promotional price does not permanently replace the regular recurring price of the applicable subscription.
Where a subscription will renew at a different amount after a promotional period, the applicable offer or checkout disclosure will identify the relevant recurring price or pricing terms as required by law.
Promotional codes must be used in accordance with their stated conditions.
A code may be refused, limited, deactivated, or cancelled where it is expired, exhausted, invalid, duplicated, obtained improperly, used outside its stated eligibility rules, or reasonably suspected of fraud or abuse.
Deactivation of a promotional code does not retroactively increase a charge already validly completed using that code unless applicable law permits otherwise.
A promotion offered to one customer, business, subscription, group, or launch cohort does not create a right to receive that promotion in the future.
Novéalla may introduce, modify, or discontinue promotions prospectively, subject to commitments already made and applicable law.
Novéalla uses Stripe for payment processing and subscription administration.
Stripe may process payment-card details, billing information, transaction information, subscription identifiers, fraud-prevention information, and other payment-related information under Stripe's own applicable terms and privacy practices.
Novéalla does not store full payment-card numbers.
By providing or selecting a payment method and confirming a purchase, you represent that you are authorized to use that payment method.
You authorize Novéalla and its payment processor to charge amounts disclosed and lawfully due for the selected subscription, applicable taxes, and authorized plan changes.
Payment confirmations, receipts, invoices, subscription records, and other billing information may be delivered electronically or made available through the applicable payment or account interface.
Customers should retain billing records needed for their own bookkeeping, tax, expense, or accounting requirements.
If an authorized subscription charge fails, Stripe or Novéalla may retry the payment where permitted.
Payment may fail because of an expired payment method, insufficient funds, issuer restrictions, payment-provider controls, suspected fraud, technical issues, or another payment-processing reason.
A subscription with an unpaid amount may enter a past-due, incomplete, restricted, grace-period, suspended, or similar status, depending on the circumstances and payment-provider state.
Novéalla may restrict paid features where an amount lawfully due remains unpaid, subject to applicable law and reasonable payment recovery procedures.
Customers are responsible for maintaining a valid payment method where continued recurring billing is required.
Payment details may be updated through the billing portal or other payment interface made available by Novéalla or Stripe.
Customers may be permitted to upgrade to a higher membership plan.
Before confirmation, the applicable interface may disclose whether the upgrade takes effect immediately, the amount due, applicable proration, the new recurring price, and the next billing date.
An upgrade may result in an immediate charge or prorated adjustment where disclosed and permitted.
Customers may be permitted to downgrade to a lower membership plan.
A downgrade may take effect immediately or at the end of the current billing period depending on the plan-change flow and terms displayed before confirmation.
A lower plan may provide fewer Business Workspaces, capabilities, limits, projects, or other subscription benefits.
Where a plan change involves proration, credits, or an immediate billing adjustment, the applicable amount will be determined by the payment-processing configuration and transaction circumstances.
Any material amount payable at the time of a plan change should be disclosed through the applicable billing flow before confirmation.
A customer may cancel an eligible subscription through the available Novéalla account or billing controls, Stripe customer portal where provided, or another cancellation method made available by Novéalla.

Unless the cancellation interface expressly states otherwise or applicable law requires another result, cancellation of an active paid subscription is scheduled for the end of the current paid billing period.
When cancellation is scheduled for period end, the subscription generally remains active until that period expires.
The subscription will not automatically renew after the scheduled cancellation takes effect.
Where an automatically converting trial is offered, customers should cancel before the applicable trial conversion or billing time if they do not want the paid subscription to begin.
A trial cancellation will operate according to the terms presented for that trial and the state of the subscription when cancellation is completed.
Merely stopping use of Novéalla, closing a browser window, deleting locally stored browser information, ignoring the Service, or ceasing to log in does not by itself cancel an active paid subscription.
Cancellation must be completed through an available cancellation mechanism or by obtaining assistance from Novéalla where necessary.
Privacy-related account closure or data-deletion requests and subscription cancellation are separate processes.
Customers should ensure that an active subscription has been cancelled through an authorized billing mechanism even if they also request account closure.
Novéalla will not rely on this distinction to defeat a statutory cancellation right that applies under mandatory law.
Except where required by applicable law, expressly promised in a particular offer, or approved by Novéalla in its discretion, fees for a subscription billing period that has already begun are non-refundable.
Cancelling a subscription generally prevents future renewal rather than retroactively refunding the current billing period.
Nothing in this Billing Policy eliminates a refund, cancellation, rescission, reversal, disclosure, or other remedy that applicable consumer-protection or other mandatory law provides and does not permit the parties to waive.
Where mandatory law gives a customer rights that conflict with this Billing Policy, the mandatory law applies to the extent of that conflict.
If you believe Novéalla has charged you twice for the same transaction or charged an incorrect amount, contact billing support promptly so the transaction can be investigated.
If an error attributable to Novéalla or its billing configuration is confirmed, we will take appropriate corrective action, which may include refunding or reversing the incorrect amount.
Customers who believe a payment method has been used without authorization should contact their card issuer or financial institution and notify Novéalla as appropriate.
Novéalla may request reasonable information needed to investigate suspected unauthorized activity.
Customers may have rights through their payment provider or financial institution concerning unauthorized or improper charges.
Where a customer believes a legitimate billing error occurred, we encourage contacting novealla@outlook.com so we can investigate before or alongside any formal payment dispute.
Fraudulent, knowingly false, or abusive payment disputes may result in account restriction or termination where permitted by law.
Where Novéalla issues a refund, it will generally be returned to the original payment method through the applicable payment processor unless another method is required or agreed.
The time required for a refund to appear may depend on Stripe, the card network, financial institution, payment method, or banking system and may be outside Novéalla's direct control.
Novéalla may choose to provide a subscription credit, account credit, courtesy adjustment, promotional credit, or other accommodation.
Unless expressly stated otherwise, such a credit is not cash, is not transferable, and does not create an obligation to provide the same accommodation in another situation.
Nothing in this section limits a refund or monetary remedy required by law.
Novéalla may change subscription prices prospectively as the Service, market, operating costs, functionality, or commercial structure evolves.
A price change will not retroactively alter a completed billing period.
Where applicable law requires notice or consent before a new price applies to a recurring subscription, Novéalla will take the required steps.
Subscription features and capacity may evolve over time in accordance with the Terms of Service.
Where a material change to a paid plan requires notice, consent, cancellation rights, or another remedy under applicable law, Novéalla will comply with those requirements.
Novéalla may send service-related electronic communications concerning subscription status, payment failures, invoices, receipts, renewals, cancellations, plan changes, billing issues, payment-method issues, or material billing-policy changes.
These operational messages are separate from optional promotional marketing communications.
Customers should review the subscription, price, currency, trial terms, billing interval, renewal terms, taxes, and material conditions displayed before completing a purchase.
Customers should also maintain accurate billing contact information so important subscription notices can be received.
Before an online subscription purchase is completed, Novéalla intends to provide the material transaction information required by applicable law through its pricing, offer, signup, checkout, and related purchase interfaces.
Customers should have an opportunity to review material purchase information and correct relevant entry errors before completing the transaction where required by law.
Transaction records or confirmations may be delivered electronically.
Novéalla does not intend to advertise a subscription at an unattainable price and then require undisclosed mandatory non-government fees to obtain that subscription.
Applicable government-imposed taxes may be added where permitted and disclosed as appropriate.
Novéalla may investigate suspected payment fraud, stolen payment methods, account abuse, repeated unauthorized trial use, promotional manipulation, or other billing misuse.
We may restrict transactions, promotional access, or subscriptions where reasonably necessary to protect Novéalla, payment systems, customers, or third parties and where permitted by applicable law.
Novéalla may restrict or suspend paid functionality where a subscription is unpaid, payment authorization has failed, fraud is reasonably suspected, or the payment provider has restricted the transaction.
Any such action remains subject to applicable contractual and statutory rights.
Where Novéalla provides a resume or reactivation function, an eligible subscription may be resumed according to the subscription state and billing terms presented through that function.
Resuming a subscription may restore future automatic renewal.
Subscription cancellation does not necessarily result in immediate deletion of Business Workspace information or personal information.
Data handling following cancellation or account closure is governed by our Privacy Policy, applicable retention requirements, and technical and legal considerations.
Nothing in this Billing Policy limits mandatory consumer, contractual, privacy, cancellation, disclosure, or language rights applicable under Québec law.
Where applicable Québec law requires French-language contractual documents or disclosures to be provided or made available in a prescribed manner, those requirements apply regardless of this English-language version.
Customers may have additional mandatory rights depending on the province or territory in which they reside or the circumstances of the transaction.
Novéalla does not rely on this Billing Policy to waive a statutory right that applicable law makes non-waivable.
Novéalla may update this Billing Policy to reflect changes in the Service, subscription structure, payment-provider processes, commercial practices, or applicable law.
Where a material change requires advance notice, consent, or another customer right under applicable law, we will take the required action.
The effective date displayed at the top identifies the current version.
